1. Acceptance of these Terms
These Terms of Service ("Terms") are an agreement between you and Altus Labs ("FlipIt," "we," "us," or "our"). By creating an account, connecting a third-party account, or using FlipIt, you agree to these Terms and our Privacy Policy. If you do not agree, do not use FlipIt.
You must be legally capable of entering into this agreement. If you use FlipIt on behalf of a business or organization, you represent that you have authority to bind it to these Terms.
2. The FlipIt service
FlipIt is a desktop workspace for organizing resale-related information, including inventory, purchases, sales, marketplace fees, shipments, expenses, subscriptions, customer records, and order confirmations. Features may use optional connections to services such as Google, Discord, shipment carriers, and marketplaces.
We may add, change, suspend, or discontinue features. We may provide beta, preview, or experimental features that can change or stop working without notice.
3. Accounts and access
You are responsible for providing accurate account information, protecting your sign-in credentials, and promptly notifying us of suspected unauthorized access. You may not share access in a way that circumvents user limits, role requirements, or access controls.
Application access may depend on an invitation, an active subscription or license, an approved email account, or a qualifying role in a designated Discord server. We may suspend or revoke access when reasonably necessary to enforce these Terms, protect the service, or comply with law.
4. Third-party integrations
FlipIt can connect to third-party services at your direction. Your use of those services is also governed by their terms, policies, permissions, quotas, and availability. FlipIt is not affiliated with or endorsed by Google, Discord, StockX, 17TRACK, shipping carriers, retailers, or marketplaces unless expressly stated.
When you connect Google, you authorize FlipIt to use the permissions shown on Google’s consent screen for the order-scanning functionality described in our Privacy Policy. You can disconnect Google within FlipIt and revoke the connection through your Google Account.
We are not responsible for third-party service outages, API changes, account restrictions, data accuracy, or decisions made by a third party.
5. Acceptable use and your responsibilities
You agree not to:
- use FlipIt for unlawful, fraudulent, deceptive, abusive, or rights-infringing activity;
- access another person’s email, account, server, or data without authorization;
- bypass security, access, rate-limit, or authorization controls;
- use multiple accounts or integrations to evade platform restrictions or third-party policies;
- upload malware or interfere with FlipIt or connected services;
- reverse engineer or redistribute FlipIt except where applicable law expressly permits it; or
- use information obtained through FlipIt to send spam or unsolicited communications.
You are responsible for your resale activity, marketplace compliance, taxes, recordkeeping, shipping, product authenticity, consumer obligations, and the accuracy of information you submit or rely upon.
6. Your data and backups
You retain ownership of information and content you enter into FlipIt. You grant us only the limited rights reasonably necessary to operate the features you request, maintain account access, secure the service, and comply with law.
FlipIt is designed to store substantial application data locally. You are responsible for maintaining appropriate exports and backups. Removing the application, clearing its storage, replacing a device, or losing access to a device may result in permanent loss of locally stored data.

7. Intellectual property
FlipIt, including its software, design, branding, documentation, and original content, is owned by Altus Labs or its licensors and is protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use FlipIt for its intended purpose.
Third-party names, logos, and services remain the property of their respective owners.
8. Calculations, estimates, and disclaimers
Revenue, profit, margin, fees, taxes, shipment dates, delivery status, inventory value, and other figures shown by FlipIt are estimates based on available data and your settings. They can be incomplete, delayed, or incorrect. You must independently verify information before making business, financial, tax, shipping, or legal decisions.
FlipIt does not provide financial, accounting, tax, investment, or legal advice.
To the maximum extent permitted by law, FlipIt is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, or error-free performance. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
9. Limitation of liability
To the maximum extent permitted by law, Altus Labs and its owners, personnel, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, opportunities, or data; account restrictions; missed purchases or sales; shipment loss or delay; or unauthorized third-party activity arising from or related to FlipIt.
To the maximum extent permitted by law, our total liability for all claims relating to FlipIt will not exceed the greater of the amount you paid us for FlipIt during the six months before the event giving rise to the claim or fifty U.S. dollars. These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Altus Labs and its owners, personnel, affiliates, and suppliers from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of FlipIt, violation of these Terms, violation of third-party rights, or resale activity. This obligation does not apply to the extent a claim results from our own unlawful conduct.
11. Termination
You may stop using FlipIt at any time. We may suspend or terminate access if you materially violate these Terms, create security or legal risk, misuse connected services, or if continued operation is no longer commercially or technically reasonable. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limitations, indemnification, and dispute provisions.
12. Governing principles and disputes
These Terms are governed by applicable law, without giving effect to conflict-of-law rules. Before filing a formal claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days, except where immediate injunctive relief is reasonably necessary. Nothing in these Terms limits non-waivable consumer rights or prevents either party from using a court with lawful jurisdiction.
13. Changes to these Terms
We may update these Terms to reflect changes to FlipIt, applicable law, or our business. We will post the updated Terms and revise the effective date. If a material change requires additional notice or consent, we will provide it as required by law. Continued use after an update becomes effective constitutes acceptance of the updated Terms.
